Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 18, 2008, Mr. James A. Rubright resigned as a member of the Board of Directors of Oxford Industries, Inc. (the “Company”). Mr. Rubright had served on the Company’s Board of Directors since 2004.
Mr. Rubright, who is the Chief Executive Officer of Rock-Tenn Company, advised the Company that his resignation would allow him to concentrate further on matters related to the acquisition by Rock-Tenn Company of Southern Container Corp., which was publicly announced on January 10, 2008, and that his resignation was not the result of any disagreement relating to the operations, policies or practices of the Company.
