Item 1.01   Entry into Material Definitive Agreement

On March 1, 2006, the Compensation Committee of the Board of Directors of Commercial Metals Company (the “Company”) approved an increase in the salary of Murray R. McClean in connection with his appointment as President of the Company from $430,000 to $475,000, effective as of March 1, 2006.
