Item 8.01 Other Events.
     On May 13, 2011, Holly Corporation (“Holly”) issued a weekly communiqué to its employees in connection with the Agreement and Plan of Merger, by and among Holly, Frontier Oil Corporation (“Frontier”) and North Acquisition, Inc. (“Merger Sub”), pursuant to which Merger Sub will merge with and into Frontier, with Frontier surviving the merger as a wholly owned subsidiary of Holly (the “Merger”). Among other things, this communiqué announced that Holly anticipates that the Merger will close on July 1, 2011.
     A copy of this communiqué as sent to employees is set forth in Exhibit 99.1 hereto and incorporated herein by reference.
