Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On July 16, 2010, Martin H. Elrad notified Olympic Steel, Inc. (the “Company”) that he was resigning as a member of the Company’s board of directors, effective immediately. Mr. Elrad joined the Company’s board of directors in 1987 and served as a member of the Compensation Committee and the Audit and Compliance Committee, and as Chairman of the Nominating Committee. Mr. Elrad’s decision to resign was not the result of any disagreement with the Company.
