Item 2.02 Results of Operations and Financial Condition.
     Subsequent to the issuance of the press release attached as Exhibit 99.1 to National American University Holdings, Inc.’s (the “Company”) Form 8-K filed on January 12, 2010, the Company made certain revisions to the university’s certain expenses as percentage of revenue, long-term debt and stockholders’ equity information contained in the press release. The Company subsequently issued a revised press release, which is being furnished to the Securities and Exchange Commission and is attached as Exhibit 99.1 to this Form 8- K/A.
