Why are Sears stock options being cashed out at merger close rather than converted into stock
at the new company?
Unexercised options are being cashed out at an amount designed to mirror the value of the 45%/55%
cash/stock consideration that Sears shareholders will receive in the merger. As such, the cash
payment reflects the underlying equity value of the option in the merger. Associates who prefer to
own stock in Sears Holdings may use this cash to purchase stock on the open market.
Will stock option grants be part of the new company?
While a final decision has not been made on the granting of stock options in the new company, the
leadership has indicated there will not be broad-based stock options.
