Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On April 15, 2019, the Board of Directors of South Carolina Electric & Gas Company (the Company) approved an amendment to the Company’s Articles of Incorporation (as amended, the Articles of Incorporation) and an amendment and restatement of the Company’s Bylaws (as amended and restated, the Bylaws) to change the name of the Company from South Carolina Electric & Gas Company to Dominion Energy South Carolina, Inc. and make certain other administrative changes related to the name change, subject to the approval of the sole shareholder of the Company, which such approval was received on April 15, 2019.
Effective on April 29, 2019 with the filing of the Articles of Amendment to the Articles of Incorporation with the South Carolina Secretary of State (the Amendment), Article I of the Articles of Incorporation was amended to read: “The name of the corporation is Dominion Energy South Carolina, Inc.”
Effective with the Amendment on April 29, 2019, Article I of the Bylaws were amended to read “Dominion Energy South Carolina, Inc.” wherever that had previously read “South Carolina Electric & Gas Company.”
