Explanatory Note

 

This Registration Statement has been prepared in accordance with the requirements of General Instruction E to Form S-8, as amended, and relates to 1,000,000 Common Shares, no par value, of Irwin Financial Corporation (the “Registrant”) which represents an increase in the number of shares reserved for issuance under the Registrant’s Employees’ Stock Purchase Plan III (as amended, the “Plan”). 750,000 shares have previously been registered for issuance under the Plan pursuant to a Registration Statement on Form S-8 (File No. 333-80777).
