Explanatory Note
 
On February 6, 2013, SEACOR Holdings Inc. inadvertently filed this Amendment No. 3 to the Schedule 13G on EDGAR as a Schedule 13G instead of a Schedule 13G/A  with respect to its beneficial ownership of securities of MGP Ingredients, Inc.

This Schedule 13G/A is being filed solely to correct the EDGAR classification of the initial filing and does not reflect any changes from the information contained in such initial Schedule 13G filing.
