Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of
Certain Officers; Compensatory Arrangements of Certain Officers.

(b), (e) On September 12, 2014, Mr. C. David Myers tendered, and the Board of Directors of Johnson Controls, Inc. (the "Company") accepted, his resignation as President - Building Efficiency effective September 15, 2014 and as a Vice President effective September 30, 2014.

Effective September 15, 2014, the Company’s Executive Vice President - Corporate Development, William C. Jackson, transitioned into the role of Vice President and President - Building Efficiency.

In connection with Mr. Myers’ resignation, the Company anticipates that it will enter into a separation agreement with Mr. Myers, which is expected to include a consulting arrangement.
