(1) | The restricted stock units (RSU), the conversion of which are reported herein were granted to the Reporting Person by the issuer on May 6, 2008 in conjunction with the Reporting Person's forfeiture of rights under the issuer's supplemental executive retirement plan. The RSU conversion reported herein relates to RSUs which vested as of May 6, 2008 but which, pursuant to Internal Revenue Service regulations regarding deferred compensation, could not be issued until 2009. This report reflects the conversion of these RSUs and the withholding of sufficient shares at the request of the Reporting Person in order to pay applicable income taxes. The fair market value of the shares based on the closing price of the issuer's stock on December 31, 2008 (the last business day before the shares became issuable) is $27.50. |
