Second Amendment to Employment Agreement with Earl J. Hesterberg

On April 30, 2010, Group 1 Automotive, Inc. (the "Company") and Earl J. Hesterberg, the Company’s President and Chief Executive Officer, entered into the Second Amendment to the Employment Agreement dated effective as of April 9, 2005, between Group 1 Automotive, Inc. and Earl J. Hesterberg (the "Second Amendment"). Pursuant to the Second Amendment, the term of Mr. Hesterberg’s employment agreement was extended through June 30, 2010. A copy of the Second Amendment is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
