The purpose of this Current Report is to report amendments (the "409A Amendments") to the Employment Agreement between Francis J. Evanitsky, President and Chief Executive Officer of Juniata Valley Financial Corp. (the "Company"), in order to comply with the final regulations issued under Section 409A of the Internal Revenue Code of 1986, as amended ("IRC 409A").
The Employment Agreement, as amended, is identical in all material respects to the existing Employment Agreement with Mr. Evanitsky other than the changes necessary to comply with IRC 409A. The Employment Agreement, as amended, is attached as an Exhibit to this Current Report.
