Item 8.01 Other Events.
CME Group Inc. (the "Company") announced today that it withdrew and refiled its Hart-Scott-Rodino Act ("HSR") merger notification with respect to its proposed combination with NYMEX Holdings, Inc. The new HSR waiting period will expire at 11:59 p.m. on June 18, 2008.
Based on all the available information, the Company believed the best way to expedite the merger review process was to give the Department of Justice ("DOJ") additional time to evaluate the transaction before the expiration of the HSR waiting period.
We believe that we have made real progress in the merger review process. We will continue to cooperate with the DOJ, and we remain confident in the outcome. In the event we receive a request for additional information from the DOJ, the Company will make an appropriate announcement at that time. The Company will not comment further on the merger review process.
