Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On January 23, 2006, Conexant Systems, Inc. (the "Company") announced that F. Matthew Rhodes, president of the Company, would be transitioning out of the Company over the next six months and that Dwight W. Decker, chairman and chief executive officer of the Company, had assumed Mr. Rhodes' responsibilities. A copy of the Company's press release dated January 23, 2006 is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
