(1) | The Restricted Stock Units (RSUs), the conversion of which is reported herein, were granted to the Reporting Person by the issuer as part of equity incentive grants made by the issuer on 2/26/07. On that date, the fair market value (FMV) of the issuer's stock was $36.23. The RSUs vest and are received by the Reporting Person in three equal portions on 2/26/08, 2/26/09, 2/26/10 unless the Reporting Person has previously elected a longer deferral period.
