Item 7.01

Regulation FD Disclosure

On September 28, 2018, Henry Schein, Inc. (the “Company”), Patterson Companies, Inc. and Benco Dental Supply Company signed an agreement to settle the litigation entitled In Re Dental Supplies Antitrust Litigation, No. 1:16-CV-00696-BMC-GRB in the United States District Court for the Eastern District of New York (the “Settlement”). The Company’s portion of the settlement amount, $38.5 million, was previously reported by the Company on August 30, 2018. Although the Company has agreed to settle this matter, it expressly denies the allegations of the complaint and all liability. The Settlement remains subject to approval by the court.
