Item 1.01. Entry into a Material Definitive Agreement.

On April 3, 2018, SS&C Technologies Holdings, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Credit Suisse Securities (USA) LLC and Morgan Stanley & Co. LLC, acting as representatives of the several underwriters named therein (collectively, the “Underwriters”), relating to the issuance and sale of 26,315,000 shares of its common stock, par value $0.01 per share (“Common Stock”), at a public offering price of $47.50 per share. Pursuant to the Underwriting Agreement, the Underwriters had a 30-day option to purchase up to an additional 3,947,250 shares of the Company’s Common Stock, which they exercised in full on April 4, 2018.

The foregoing description of the Underwriting Agreement is qualified in its entirety by reference to the complete copy of that agreement filed as Exhibit 1.1 to this Current Report on Form 8-K and is incorporated by reference herein.

A copy of the opinion of Davis Polk &Wardwell LLP relating to the legality of the issuance and sale of the shares in the offering is attached as Exhibit 5.1 hereto.
