Item 1.01 Entry into a Material Definitive Agreement

On March 1, 2018, The AES Corporation (the “Company” or “AES”) entered into an Underwriting Agreement (the “Underwriting Agreement”), among AES and Morgan Stanley & Co. LLC, as representative of the several underwriters, pursuant to which AES agreed to offer and sell $500,000,000 aggregate principal amount of its 4.000% Senior Notes due 2021 and $500,000,000 aggregate principal amount of 4.500% senior notes due 2023 (together, the “Notes”), in each case at a public offering price of 100.000% of the principal amount. AES intends to use the net proceeds from the offering of the Notes to fund the concurrent tender offer to purchase its outstanding 8.00% senior notes due 2020 and 7.375% senior notes due 2021 (the “Tender Offer”) and to pay certain related fees and expenses. If any net proceeds from this offering remain after completion of the tender offer, AES intends to use such proceeds to retire certain other outstanding indebtedness and for general corporate purposes. In conjunction with the Tender Offer, the Company is soliciting consents to the adoption of certain proposed amendments to the indenture governing the Notes to alter the notice requirements for optional redemption with respect to each series of Notes. The closing of the offering of the Notes is expected to occur, subject to certain customary conditions, on March 15, 2018.
