Earlier today we announced we have reached an agreement to combine with CB&I. This is a great day for McDermott, and I am excited about the opportunities this combination will create throughout our company.

CB&I is a world-class company with industry-leading technology, deep roots in the energy business and great people. For more than 125 years, they have been building and engineering upstream and downstream production and processing facilities including gas liquefaction plants, regasification terminals, power plants and bulk storage terminals.

McDermott and CB&I are a great cultural fit. McDermott’s unmatched expertise in offshore and subsea projects coupled with CB&I’s strong technology and capabilities in the onshore market will give us the scale and diversification to continue our transformation and drive growth in new territories and sectors of the energy industry. The combination of McDermott and CB&I responds to our customers’ increasing desire to have one provider than can offer a single solution from the well-head to the storage tank. This combination is about growth.

Upon closing, I will lead our new company as CEO, Stuart Spence will serve as CFO and management of both companies will assume leadership roles throughout the combined company. Together, we will appoint an integration team with members from McDermott and CB&I to develop a plan for bringing our two companies together. The integration team will be led by Tony Brown, McDermott’s Vice President of Strategy, and James Sabin, CB&I’s Executive Vice President of Global Operations Services. The new company will be based in the Houston area.

For now, it’s business as usual. McDermott and CB&I will continue to operate as separate, independent companies until the combination receives all required approvals. We do not expect this to happen until the second quarter of 2018. While today’s announcement is very exciting, we cannot let it be a distraction. Let’s remain focused on delivering for our customers and achieving our 2017 and 2018 objectives, while keeping safety a top priority.


The progress we have made over the past three years to turn our business around is nothing short of remarkable and this combination is a natural and logical part of our planned growth strategy. We can all be very proud of the work we have done and the results we have achieved together, for McDermott and for our customers. It is your dedication and focus that has made this next exciting step in our transformational journey possible.
