I’m pleased to share some exciting news with you today. Moments ago we announced that Hillshire Brands has entered into an agreement to acquire Pinnacle Foods, a well-respected company with a robust portfolio of leading brands including Birds Eye®, Duncan Hines®, Vlasic®, Wish-Bone®, Mrs. Butterworth’s® and Van de Kamp’s®, among others. A copy of the press release issued this morning is attached.

All of you should be exceptionally proud of today’s announcement, which was made possible because of the strong foundation we’ve built together. Since emerging as an independent company in 2012, we have made tremendous progress revitalizing our brands and evolving our culture and capabilities. This transaction marks a logical next step as a leading branded food company.

After getting to know the Pinnacle Foods team and their business, I am confident that they represent an ideal partner for Hillshire Brands. Along with having great iconic brands, they share our passion for developing innovative products, as well as our focus on maintaining a lean and efficient operating structure and close ties with customers.

The new Hillshire Brands, which will be headquartered in Chicago, will have leading brands and strong positions in key frozen, refrigerated and center of store grocery categories. Our increased scale and diversified portfolio will enable us to continue to invest in our brands – driving further growth through innovation and product extensions – and deliver outstanding benefits to our consumers, customers and shareholders.

It is important to remember that today’s news is just the first step in the process. The transaction is subject to regulatory and shareholder approvals and other customary closing conditions, and is expected to close by September 2014.

In the coming weeks and months, we will be working with Pinnacle Foods to develop an integration plan. Tom Hayes, our chief supply chain officer, will lead the integration efforts on our side. We are excited to bring together talented individuals from both sides to create a strong combined company. From now until we close, however, Hillshire Brands and Pinnacle Foods will continue to operate as independent companies and for us, it’s “business as usual.” It is essential that we continue to focus on closing FY14 strong.
