Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation Arrangements of Certain Officers
Effective February 10, 2014, the Board of Directors of WMI Holdings Corp. (the Company) approved and adopted a First Amendment to the Companys 2012 Long-Term Incentive Plan (the Plan), pursuant to which the number of shares of the Companys common stock reserved and available for grants under the Plan was increased from 2 million shares to 3 million shares, and the terms under which the Plan may be amended were modified to allow an increase to the number of shares available for grant under the Plan upon approval of the Companys Board of Directors, except when shareholder approval is required under applicable law, regulation or rule of any stock exchange on which the Companys shares are listed, quoted or traded. The foregoing description of the First Amendment is qualified in its entirety by reference to the full text of the First Amendment, which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
