Item 1.01. | Entry Into a Material Definitive Agreement. |
On March 15, 2012, Capital One Financial Corporation (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Morgan Stanley & Co. LLC, Barclays Capital Inc., Citigroup Global Markets Inc. and Credit Suisse Securities (USA) LLC, as representatives of the underwriters listed in Schedule I thereto (the Underwriters), pursuant to which the Company agreed to issue and sell 24,442,706 shares of the Companys common stock, par value $0.01 per share (the Common Stock), to the Underwriters at a price of $51.14 per share. The Underwriters are to offer the securities to the public at variable prices (the Offering). The net proceeds of the Offering, after underwriting discounts and commissions, will be approximately $1.25 billion.
In connection with the Offering, the Company and certain of its officers and directors entered into 75-day lock-up agreements in substantially the form included in the Underwriting Agreement and subject to customary exceptions.
The Offering was made under a prospectus supplement and the accompanying prospectus filed with the Securities and Exchange Commission pursuant to the Companys automatic shelf registration statement on Form S-3 (Registration No. 333-159085).
The Underwriting Agreement contains customary representations, warranties and agreements by the Company, conditions to closing, indemnification rights, obligations of the parties and termination provisions. The description of the Underwriting Agreement set forth above is qualified in its entirety by reference to such document, which is attached as Exhibit 1.1 hereto and incorporated by reference in this Item 1.01.
