  (3) to consider and vote on a shareholder proposal to change the voting standard for director elections that are not contested;

 

  (4) to consider and act upon any other business that may properly come before the meeting or any adjournment(s) thereof.

Management recommends a vote “FOR” Items 1 and 2, and makes no recommendation on Item 3.

The Board of Directors has fixed the close of business on March 8, 2010 as the record date (the “Record Date”) for the

determination of shareholders entitled to receive notice of and to vote at the Annual Meeting or any adjournment(s) thereof.
