(b) On February 12, 2009, the Company confirmed that Philip McLoughlin and Fayez Sarofim would not stand for re-election to the Argo Group International Holdings, Ltd. (the “Company”) board of directors at the Company’s 2009 Annual General Meeting to be held on May 5, 2009, and as a result Mr. McLoughlin and Mr. Sarofim will cease to be directors on May 5, 2009.
