Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On April 6, 2007, the Compensation Committee of the Board of Directors of The First American Corporation (the “Company”) approved a form of amendment to the restricted stock unit (RSU) award agreement. The principal effect of the amendment is to change the definition of retirement to the age of 62. It is anticipated that each of the Company’s named executive officers will enter into such an amendment with respect to the RSUs they received on March 5, 2007.
