On January 31, 2006, William E. Terry notified the registrant that he will not stand for re-election as a director at the registrant’s Annual Meeting of Shareholders to be held on October 26, 2006. Mr. Terry’s term will end at the Annual Meeting and he will continue to serve as a director until the Annual Meeting. Mr. Terry’s decision not to seek re-election was not because of a disagreement with the registrant on any matter relating to the registrant’s operations, policies or practices.
