(b)           To ensure balance on the Company’s  Board of Directors between independent and non-independent  directors following the  Company’s annual meeting of the stockholders, currently scheduled for June 11, 2008 (the “Annual Meeting”), on March 19, 2008 the Board of Directors decided that Stephen P. Kuchen would not stand for re-election at the Annual Meeting.   Mr. Kuchen will continue to serve as the Company’s Vice President and Chief Financial Officer.
