EXPLANATORY NOTE

The purpose of this Amendment is to correct the inadvertent omission of presentation materials referenced in Apollo Gold Corporation’s (“Apollo”) investor conference call on November 14, 2008. Set forth below is an amended and restated Item 2.02 correcting the foregoing omission.

ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On November 13, 2008, Apollo issued a press release reporting its financial results for the three months ended September 30, 2008. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

On November 14, 2008, Apollo hosted a conference call with investors to discuss its third quarter financial results. A related written presentation referenced during the call is furnished as Exhibit 99.2 hereto.
