Item 2.02.     Results of Operations and Financial Condition

     On January 27, 2005 Potash Corporation of Saskatchewan Inc. issued a news release announcing its financial results for the fourth quarter ended December 31, 2004. A copy of the news release is attached as Exhibit 99.1. This news release includes certain non-GAAP financial measures and a reconciliation of those measures to the most directly related comparable GAAP measures.
