ITEM 8.01 Other Events.
On December 17, 2008, AvalonBay Communities, Inc. (the “Company”) announced that its Board of Directors declared a combined regular and special Common Stock dividend (“Combined Dividend”) of $2.70 per share, The Combined Dividend is payable on January 29, 2009, to holders of record of the Company’s Common Stock, par value $0.01 per share, at the close of business on December 29, 2008.
A copy of the press release announcing the Combined Dividend is attached to this Current Report as Exhibit 99.1 and is incorporated herein by reference.
