Item 1.01                                             Entry into a Material Definitive Agreement.

The information required to be disclosed in this Item 1.01 is incorporated herein by reference from Item 3.02.

Item 3.02               Unregistered Sales of Equity Securities.

On January 10, 2007, Callisto Pharmaceuticals, Inc. (the “Company”) closed a private placement of 28,000 shares of Series A Convertible Preferred Stock (the “Series A Preferred Stock”) and 373,333 warrants (the “Warrants”) to an accredited investor (the “Investor”) for aggregate gross proceeds of $280,000 pursuant to a Securities Purchase Agreement dated as of January 10, 2007 (the “SPA”). The Warrants are immediately exercisable at $0.75 per share and are exercisable at any time within five years from the date of  issuance. Other than pursuant to certain issuances, for the twelve (12) month period beginning on the effective date of the Registration Statement registering the resale of the shares of Common Stock underlying the Warrants by the Holder, if the Company at any time while the Warrants are outstanding, shall sell or grant any option to purchase or otherwise dispose of or issue any Common Stock or common stock equivalents entitling any Person to acquire shares of Common Stock, at an effective price per share less than the then exercise price (such lower price, the “Base Exercise Price”, then, the exercise price shall be reduced to an amount equal to the Base Exercise Price.

The Company paid an aggregate $28,000 and issued an aggregate 82,133 warrants to purchase common stock to a selling agent. The warrants are immediately exercisable at $0.75 per share and will expire five years after issuance.

In connection with the offer and sale of securities to the Investor and the selling agent, the Company relied on the exemption from registration provided by Section 4(2) of the Securities Act of 1933, as amended (the “Securities Act”), and Regulation S promulgated thereunder. The Company believes that the Investor and the selling agent are “accredited investors”, as such term is defined in Rule 501(a) promulgated under the Securities Act.

The Investor is also a party to a Registration Rights Agreement, dated as of October 23, 2006 (the “Registration Rights Agreement”), pursuant to which the Company has agreed to file, within 60 days of closing, a registration statement covering the resale of the shares of common stock underlying the Series A Preferred Stock and Warrants issued to the Investor.
