On December 30, 2005, Career Education Corporation (the “Registrant”) filed a Current Report on Form 8-K with the Securities and Exchange Commission in connection with the announcement that Patrick W. Gross was appointed to the Registrant’s Board of Directors (the “Board”).

 

On May 18, 2006, the Board appointed Mr. Gross as Chairman of the Compensation Committee of the Board. In addition, the Board appointed Mr. Gross to the Audit and Nominating and Governance Committees of the Board.
