On March 14, 2006, Dr. Frederick B. Craves notified Incyte Corporation (the “Company”) that he would be retiring from the Board of Directors, effective at the time of the Company’s 2006 Annual Meeting of Stockholders, and therefore would not stand for re-election. Dr. Craves has been a member of the Company’s Board of Directors since 1993.
