(d)  On February 10, 2006, the Board of Directors of Watson Wyatt Worldwide, Inc. appointed Roger C. Urwin as a director to fill a vacancy created when director Paul Thornton retired from the board in January 2006.  Mr. Urwin will serve as a director in Class I, which term expires at the Annual Meeting in 2007.  A copy of the press release announcing Mr. Urwin’s appointment is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
