ITEM 2.02. RESULTS OF OPERATION AND FINANCIAL CONDITION.
 
On April 20, 2007, Citizens First Corporation issued a press release, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference. The press release announced the Company’s operating results for the quarter ended March 31, 2007.
 
ITEM 5.02(d) DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS: ELECTION OF DIRECTORS: APPOINTMENT OF PRINCIPAL OFFICERS.
 
On April 19, 2007, the Board of Directors of Citizens First Corporation (the “Company”) appointed Dr. R. Kevin Vance as a director of the Company and of Citizens First Bank, Inc. Dr. Vance is a veterinarian living in Horse Cave, Kentucky. Dr. Vance will be serving on the Audit Committee and the Director’s Loan Committee of the Board of Directors of the Company.
