On November 2, 2006, Citizens First Corporation issued a press release, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference. The press release announced the Company’s sale of 900,000 shares of its common stock at a price of $16 per share in a firm commitment underwritten offering. The Company also announced that its Nasdaq listing application had been approved.
