Item 3.01.
Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

         On September 2, 2010, Kingstone Companies, Inc. (the “Company”) received a letter from The Nasdaq Stock Market (“Nasdaq”) informing the Company that it had determined that the Company’s issuance of 787,409 shares of common stock in exchange for approximately 1,299 shares of the Company’s outstanding Series E preferred stock, as previously disclosed in the Company’s Current Report on Form 8-K for an event dated June 30, 2010, was not in compliance with Nasdaq’s shareholder approval rules set forth in Listing Rule 5635(c) and 5635(d)(2).  The Company has until September 17, 2010 to submit a plan to Nasdaq to regain compliance.  The Company is preparing such a plan for submission to Nasdaq.
