Item 5. Other Events and Regulation FD Disclosure.
On July 9, 2004, Integrated BioPharma, Inc., a Delaware
corporation (the "Company"), issued a press release stating that there is no
correlation between the fundamentals of the Company and the recent trading
activity of its common stock. The Company and its counsel are continuing
investigation, with the cooperation of the American Stock Exchange. The press
release is attached as an exhibit to this Report.
